These Terms of Service (“Terms”) are a legal agreement between you (“you,” “your”) and Hapi (“we,” “us,” “our”), operating under Digi Solution, governing your use of our website, services, and content available via https://gethapi.org (collectively, the “Services” or “Site”). By accessing or using the Site or Services, you agree to these Terms. If you do not agree, you must not access or use the Services.
1. Acceptance of Terms
1.1. You accept and agree to follow all of these Terms.
1.2. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.
2. Changes to Terms
2.1. We may revise, amend, or update these Terms at any time.
2.2. If changes are material, we will try to notify you (for example via email or a notice on the Site).
2.3. Continued use of the Services after the “Effective Date” of changes means you accept those changes.
3. Use of the Services
3.1. The purpose of our platform is to allow users to search for and discover publicly-available social media accounts, evaluate their audience quality, and apply filters per user needs.
3.2. You’re granted a limited, non-exclusive, non-transferable, non-assignable license to use the Services for your personal or business purposes, according to these Terms.
3.3. You must register for an account (“Account”) to use some or all Services. You agree to keep your credentials (username, password, tokens, keys) secure and not share them. You are responsible for all activity under your account.
3.4. Only one (1) account per person/entity is allowed, unless your plan explicitly allows otherwise.
4. Privacy & Data Use
4.1. Our Privacy Policy (link provided) is part of these Terms. It explains how we collect, use, share, and retain your data.
4.2. When you use features that require Facebook or Instagram data (e.g. login, API usage), we will use that data only in compliance with the Facebook Platform Terms, Instagram Platform Policies, and applicable data protection laws (including GDPR if you are in the EU).
5. Paid / Subscription Services
5.1. Some parts of the Services are paid. You select a plan and agree to pay the fees associated.
5.2. Payments are processed through third-party payment providers (credit card, PayPal, etc.). We do not store your credit/debit card data.
5.3. Subscription plans automatically renew unless you cancel before the end of the current period.
5.4. Refunds may be requested within 48 hours after a renewal under limited circumstances.
6. Content and Accuracy
6.1. Much of the data/content made available by the Services is drawn from third-party sources and public data. We do not guarantee its accuracy, completeness, or reliability. You understand that you rely on such content at your own risk.
6.2. You may use the content/data for informational purposes only. Any other use (redistribution, extraction, commercial reuse) requires our prior written consent.
6.3. If you display or publish content from our Service, you must attribute us (link to gethapi.org) as the source where reasonably possible.
7. Restrictions & Prohibited Conduct
You agree not to:
- Use the Services for unlawful, abusive, or fraudulent purposes.
- Harvest, collect or store personal data about other users without consent.
- Use bots, scrapers, automation tools, or any method other than our provided API (if applicable) to access or collect content.
- Reverse engineer, decompile, modify or attempt to extract source code.
- Resell, sublicense, or transfer your rights under these Terms without our written permission.
- Impersonate another person or organization.
- Violate third-party rights (intellectual property, privacy, publicity).
8. Termination and Cancellation
8.1. You may cancel your subscription or stop using the Services at any time.
8.2. We may suspend or terminate your access (or your account) if you breach these Terms, fail to pay, or otherwise act improperly.
8.3. On termination or expiry:
- Your rights to use the Services end immediately.
- We may delete your data/content associated with your account (unless legal or backup holds apply).
- You remain responsible for any fees due up through termination.
9. Intellectual Property and Proprietary Rights
9.1. All content on the Site (text, graphics, logos, software, data compilations, etc.) is owned by Hapi or its licensors. You obtain no rights other than those explicitly granted.
9.2. You must not remove or obscure any copyright, trademark or proprietary notices.
10. Disclaimers and Limitations of Liability
10.1. The Services are provided “as is” and “as available.” We make no warranties (express or implied) regarding availability, accuracy, fitness for purpose, or non-infringement.
10.2. We are not liable for indirect, special, incidental, consequential, or punitive damages, even if we have been advised of the possibility of such damages.
10.3. Our total liability to you for any claim under these Terms will not exceed the amount you have paid us in the preceding 12 months (if any).
11. Governing Law; Dispute Resolution
11.1. These Terms are governed by the laws of Quebec, Canada.
11.2. Any dispute arising under these Terms will first be attempted to be resolved amicably within 30 days. If unsuccessful, the dispute will be submitted to binding arbitration in Montreal, Quebec, in English, with one arbitrator. Each party bears its own legal costs; arbitration costs and fees may be shared.
